- Representation of NYSE computer hardware company and domestic and foreign affiliates in connection with $750,000,000 in unsecured term loan and revolving credit facility.
- Representation of NYSE company in connection with an aggregate
of $720,000,000 in secured financing, involving multi-national
affiliates and personal property collateral (including coordination
and management of foreign counsel in twelve Asian and European
countries).
- Representation of NYSE high tech manufacturing company in
$29,000,000 financing secured by stock and warrants in publicly
traded company.
- Representation of developers in obtaining, and lenders in
making, acquisition, construction and permanent loans (senior
and mezzanine financing), in amounts ranging from $700,000
to $110,000,000 secured by collateral in California and in
other states (including, for example, Arizona, Delaware, Hawaii,
Nevada, New York, Oregon and Washington).
- Representation of NYSE company in connection with synthetic
lease transaction.
- Representation of a major financial institution in connection
with the consolidation of securitization programs with major
oil company sponsors.
- Representation of a major financial institution in connection
with the sale of a portfolio of securitized loans.
- Representation of lenders in connection with financing of
hotels.
- Representation of lenders and developers in providing
and obtaining mezzanine financing secured by pledges of partnership
or membership interests and/or deeds of trust.
- Representation of auto dealer in connection with financing
the acquisition and development of auto dealership sites.
- Documentation, negotiation and conduct of diligence in connection
with private lender's participating loans in several states.
- Representation of large institutional lender in acquisition
bridge loan transactions and, subsequently, as the issuer of
letters of credit with respect to credit enhancement, for multifamily
housing revenue bond transactions secured by real property
in California, Texas and Arizona.
- Representation of numerous banks, life insurance companies
and other lenders in connection with sale to, or purchase from,
other financial institutions of portfolios of loans, individual
loans and participations.
- Documentation and negotiation on behalf of major California
bank of a $45,000,000 unsecured revolving credit facility for
large Southern California development company.
- Representation of Southern California developer in connection
with refinance of five properties in California and in obtaining
Fannie Mae loans totaling approximately $60,000,000.
- Representation of tenant in negotiating and drafting air
space leases from governmental agency and obtaining air space
leasehold construction financing.
- Periodic review and updating of loan documents for various
lender clients.
- Representation of lenders in a wide variety of personal property
and asset-based financing facilities covering collateral such
as art, motor vehicles, computer components, notes and negotiable
instruments and intangible personal property and inventory,
and in connection with accounts receivable financing, equipment
financing and sale-leaseback transactions relating to equipment.
- Advice
and counsel to various domestic and foreign lenders regarding
issues of guaranty/suretyship, usury, mixed collateral, letters
of credit and bankruptcy concerns.
